1. Agreement and who we are
These Terms of Service (the “Terms”) are an agreement between you and Tally Integrations LLC (“Tally,” “we,” “us,” or “our”) concerning Tally Pulse and the related websites, applications, support, and services (collectively, the “Service”). By creating an account, starting a trial, purchasing a subscription, or using the Service, you agree to these Terms and our Privacy Policy.
You must be at least 18 years old and legally able to enter into this agreement. If you use the Service for a company or other organization, you represent that you can bind that organization, and “you” includes it.
2. Accounts and authorized use
You must provide accurate account information, protect your login credentials, and promptly notify us of suspected unauthorized access. You are responsible for activity under your account and for ensuring that your use complies with your organization’s policies and applicable law.
You may use the Service only for lawful business purposes. You may not:
- access data or a Salesforce organization without authorization;
- use the Service to violate privacy, intellectual-property, employment, anti-discrimination, export-control, or other laws;
- probe, disrupt, overload, bypass, reverse engineer, or defeat security or usage controls, except where applicable law expressly permits it;
- introduce malware or use automated means to scrape or abuse the Service; or
- use output to make a legally significant decision about a person without appropriate human review and any notices, consent, testing, or appeal rights required by law.
3. Salesforce and third-party services
The Service connects to Salesforce only when you authorize it. You direct us to read the information needed to respond to your request and, after you approve a plan, to create or update the selected Salesforce reports, formulas, or dashboards. Your Salesforce permissions continue to control what the Service can access. You are responsible for reviewing the proposed work and confirming that the connected user has appropriate authority.
Salesforce, payment processors, and other third-party products are governed by their own terms. We do not control those services and are not responsible for their availability, changes, or conduct. Tally Pulse is not sponsored or endorsed by Salesforce.
4. Automated and AI-assisted features
The Service uses automated and artificial-intelligence-assisted systems to interpret requests, analyze information made available through your connection, and propose or produce reporting work. These systems can misunderstand a request, omit context, or produce inaccurate results. Output is a starting point for your review—not a substitute for professional judgment.
You are responsible for checking filters, fields, formulas, permissions, totals, and other output before relying on or sharing it. Do not use the Service as legal, tax, accounting, employment, medical, financial, or other regulated professional advice. The Service shows proposed Salesforce changes for approval, but you remain responsible for what you approve and how you use the resulting work.
5. Subscriptions, automatic renewal, and taxes
Pulse Pro is a recurring subscription. Unless you cancel, your subscription automatically renews for successive periods of the same length and we charge the payment method on file the then-current subscription price plus applicable taxes. The price, billing frequency, included usage, and any trial terms are shown before purchase. By selecting the purchase or subscribe button, you expressly authorize recurring charges until cancellation.
Usage allowances reset as described at purchase and do not roll over unless we expressly say otherwise. A paid message add-on is a one-time purchase, is tied to the account and usage period shown at purchase, has no cash value, and may expire at the end of that period.
We may change prices or subscription terms prospectively. We will provide any advance notice and obtain any consent required by applicable law. Your continued subscription after the effective date constitutes acceptance where permitted by law.
6. Cancellation and refunds
You may cancel at any time through Manage billing in your account. Cancellation stops the next automatic renewal. Unless applicable law requires otherwise, cancellation takes effect at the end of your current paid billing period, and you may continue using paid features until that date.
Payments are nonrefundable. We do not provide refunds or credits for partial billing periods, unused time, unused messages, account inactivity, downgrades, or message add-ons, except where required by law or expressly stated at purchase. Cancel before the renewal date to avoid the next charge. See the Subscription and Cancellation Policy for a plain-language summary.
7. Customer content and permissions
You retain your rights in prompts, Salesforce data, report specifications, dashboards, support messages, and other content you provide or direct the Service to process (“Customer Content”). You grant Tally a limited, nonexclusive right to host, copy, transmit, modify, and otherwise process Customer Content only as needed to operate, secure, support, and improve the Service, comply with law, and follow your instructions.
You represent that you have the rights and permissions needed for Customer Content and for our processing of it. You may provide feedback; if you do, we may use it without restriction or compensation, provided we do not identify you publicly without permission.
8. Our Service and intellectual property
Tally and its licensors own the Service, software, designs, documentation, trademarks, and other materials we provide, excluding Customer Content and third-party materials. Subject to these Terms and payment of applicable fees, we grant you a limited, revocable, nonexclusive, nontransferable right to use the Service during your authorized subscription or trial.
9. Suspension and termination
We may suspend or terminate access if you materially breach these Terms, create a security or legal risk, fail to pay amounts due, or use the Service in a way that could harm Tally, our providers, or others. Where reasonably practicable, we will provide notice and an opportunity to cure. You may stop using the Service at any time; stopping use does not itself cancel a subscription.
When access ends, your right to use the Service ends. Reports and dashboards already created in your Salesforce organization may remain there subject to Salesforce access and your organization’s policies. Provisions that by their nature should survive—including payment obligations, ownership, disclaimers, liability limits, and dispute terms—will survive.
10. Service changes and availability
We may add, change, or discontinue features and impose reasonable usage or security limits. We do not guarantee uninterrupted or error-free operation. We may perform maintenance or take emergency action to protect the Service. If we discontinue a paid Service in its entirety before the end of a prepaid period, we will provide the remedy required by applicable law and may provide a prorated credit or refund.
11. Disclaimers
To the maximum extent permitted by law, the Service is provided “as is” and “as available.” Tally disclaims all express, implied, and statutory warranties, including merchantability, fitness for a particular purpose, title, noninfringement, accuracy, and any warranty arising from course of dealing or usage of trade. We do not warrant that output will be complete, correct, compliant, or suitable for your particular purpose. Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.
12. Limitation of liability
To the maximum extent permitted by law, Tally and its affiliates, officers, employees, agents, suppliers, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, business, goodwill, data, or use, even if advised of the possibility. Their total aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of $100 or the amounts you paid to Tally for the Service during the 12 months before the event giving rise to the claim. These limits do not apply to liability that cannot be limited by law.
13. Indemnification
To the extent permitted by law, you will defend, indemnify, and hold harmless Tally and its affiliates, officers, employees, and agents from third-party claims, damages, losses, and reasonable costs arising from your Customer Content, your unlawful or unauthorized use of the Service, or your material breach of these Terms. This obligation does not apply to the extent a claim results from Tally’s own misconduct.
14. Disputes and applicable law
Before filing a formal claim, you and Tally agree to try in good faith for 30 days to resolve the dispute informally. Send a notice describing the issue and requested resolution to support@gettally.io. Nothing here prevents either party from seeking urgent injunctive relief or using an eligible small-claims process.
Applicable law and venue will be determined under the laws that otherwise govern the parties and the dispute. These Terms do not waive any nonwaivable consumer protection or other statutory right.
15. Changes and general terms
We may update these Terms. If a change materially reduces your rights, we will provide reasonable advance notice when required. The updated effective date will appear above. If you continue using the Service after the change takes effect, you accept the revised Terms to the extent permitted by law.
These Terms and incorporated policies are the entire agreement concerning the Service unless you and Tally sign a separate agreement. If a provision is unenforceable, it will be modified to the minimum extent necessary and the rest will remain effective. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; Tally may assign them in connection with a merger, reorganization, sale of assets, or by operation of law.
